These terms apply to your use of Sparzan Global's website ("the site") and, where applicable, to any engagement you enter into with us. Specific project engagements are always governed by a separate signed Statement of Work; these terms are the umbrella defaults.
1. Use of the site
You may browse and interact with the site for lawful purposes. You may not attempt to disrupt the site, scrape it at scale without permission, or misrepresent your identity when contacting us.
2. Engagement terms
All client work is scoped in a written Statement of Work signed by both parties. The SoW defines deliverables, milestones, price, and timeline. If anything in these terms conflicts with the SoW, the SoW wins.
We invoice per the SoW schedule. Unless otherwise agreed, invoices are due net 14. Late invoices may pause active work until settled.
3. Intellectual property
Everything we build for you under an SoW — source code, designs, docs, infrastructure config — is yours on delivery. We retain a non-exclusive right to reference the engagement in general terms (e.g. "worked with a B2B SaaS company on an AI copilot") without disclosing anything confidential.
We may reuse general-purpose components, patterns, and internal tooling we developed independently. Anything specific to your business is yours alone.
4. Confidentiality
We treat everything you share with us as confidential. We won't disclose it to third parties without your consent, except as required by law. If you'd like a signed NDA before we start, ask — we'll sign yours or provide ours.
5. Warranty & liability
We warrant that work delivered under an SoW will meet the acceptance criteria defined in that SoW. If it doesn't, we'll fix it at no additional cost. Beyond that acceptance-criteria warranty, work is delivered "as is" and our aggregate liability for any engagement is capped at the fees paid for that engagement.
6. Termination
Either party may terminate an engagement for material breach if the breach isn't cured within 15 days of written notice. On termination, we deliver work-in-progress and you settle fees earned to that date.
7. Governing law
Absent a jurisdiction specified in the SoW, these terms are governed by the laws of the client's principal place of business.
